1. change settings in bios
2. updating bios.
3. change cpu fan
but other motherboard works fine with the same cpu and fan. i am using windows xp. pls help me. sorry for my bad English.

Solution
How do you know the CPU works fine and motherboard? CPU could be bad and/or motherboard. Look for bad capacitors. Anyways if they are fine, unplug cd drive and other unnessasary components. Also try the onboard gpu for a while. Also try a new bios battery. Although would not think bios battery is the culprit but you can try. If everything still acts up after all if this, breadboard the PC, unplugging one thing at a time until it works. Try testing psu by the way by putting in another.

If the CPU fan spins, the CPU is most likely not overheating unless it is full of gunk.
