Then i would rather suggest a full ATX motherboard and for the CPU go for a i7 4770 at lest otherwise you can't exactly call it an upgrade. More like a downgrade if not.

If you want keep the motherboard then there's also an option to move towards an Intel Core i7-3770 @ 3.40GHz which will be huge up compared to what you have. so you can spend rest on minor upgrade as well. RAM,GPU like stuff may be.

Even though the 2nd option seems never there are some main drawback i see... which is that mATX board and the slightly weak processor. But if have plans of moving to an i7 4770 or something much powerful then this should be much worthy over the 1st one.

But if you going for the 1st option then consider much about the condition of that board and the CPU as well. Mainly because it is old and in same time motherboard come with a good upgrade path.
