Info about your HP motherboard can be found at http://h10025.www1.hp.com/ewfrf/wc/document?cc=fr&lc=fr&dlc=fr&docname=c01386897#N214.

Finding a new socket 775 motherboard with 4 memory sockets and the same slots is difficult. Newegg sell the ASRock G41C-GS that may meet your requirements: http://www.newegg.com/Product/Product.aspx?Item=N82E16813157359

Buying DDR3 memory and a new motherboard to keep an old socket 775 processor is a bad investment. If your OS is tied to the HP motherboard, you may also have to buy a new copy. I would suggest upgrading the motherboard and CPU to current technology.

On the lower end, here's what I'd recommend:

PCPartPicker part list / Price breakdown by merchant / Benchmarks

CPU: Intel Core i5-4670 3.4GHz Quad-Core Processor ($219.97 @ OutletPC)
Motherboard: Asus H87M-PRO Micro ATX LGA1150 Motherboard ($95.50 @ Newegg)
Total: $315.47
(Prices include shipping, taxes, and discounts when available.)

Hopefully, you don't really need the PCI slot from your old motherboard. Which way to go depends on your intended usage.
