yeh it will last you for a while especially 12 gb of ram once you get that windows 8.1 i wouldn't upgrade if you get windows 7 unless you solely want 5-10% difference. the heatsink will be great for moderate to low oc and even better a t stockif you wanted more oc i would go liquid cooling

750w is overkill for that build, would be great to put a 650w instead. And also, are you buying this for gaming? Cause if so you don't really an extra stick of RAM to go with it and 8GB is enough to do so.

If you're thinking of overclocking you should get an air cooler. I suggest the CM Hyper 212 Evo just for that. It'll get you around 4.0-4.5GHz stable. Around $29 or so I guess.

You could also get further with liquid cooling if you could handle the sound in some so you should get the CM Seidon 120M. it's cheap and the performance is really good for the price the same as the air cooler mentioned above.

it depends do you have enough space at the top of the case for a 240mm radiators, and enough space for tubing. an atx mid tower might not cut it a full tower can
