his i7 950(do) died.. but intel's warranty says that it has 3 year manufacturer warranty? he bought the i7 last 2 years? is it still covered?

Yes, but what were the reasons on his processor just dying? Processors don't die, it probably was the motherboard that died.

well even overclock 4.5ghz? for 2 years?

with a good after-market cooler and as long as volts are within Intel's prescribed limits, most probably yes.
