New ASRock Z97MPro4 m/b no post

Hello guys ,
I tried to install this m/b in my rig , but I get no post ..
It boots,and for 2-3 seconds all fans are working @100% , then reboots , and I get a black screen and four long beeps
After googling around I found out that 4 beeps is system timer failure(?) apparently and/or faulty m/b..
I tried different RAM , reseating everything , connecting my monitor to onboard graphics , but I can't get it to post..
All my specs are described in my signature..
Please,anyone can shed some light into this??

Hi, Why did you replace the old board? If starting the board with only CPU and CPU fan installed, what beeps getting?

didn't want to choose the best answer , sorry brainfreeze 😛
I have tried a lot of combinations of peripherals but I always got the same beep ..

I wanted to try Z97 chipset because my GA's getting the voltages all messed up

Even with no components, but CPU and CPU cooler?
What is the board's BIOS version (P1.xx)? Check a sticker like http://www.asrock.com/support/images/FindBIOS-1.jpg

Hey , sorry it took me so long to get back to you , I was away from a pc for a while..The BIOS version is P1.40.
I've already contacted my seller for a rma , noticed some bent pins too..
It's not my first ball game , I'm certain it wasn't me who did that,hope they accept it..
