New CPU doesn't work but old one does

I'm upgrading from a i5-4430 to an i5-4690k. When the new cpu is installed the computer restarts every few seconds and doesn't get to POST. When the old 4430 is in place, it starts and POSTs. I've tried clearing CMOS, removing all other components, ckecking RAM. Is there some compatibility issue I'm unaware of or is it maybe defective?

some mobo need BIOS update to support some CPU.

place your old CPU, update bios, change CPU again.
