New motherboard and cpu

I will be upgrading (sidegrading?) my mobo and cpu. I'd like to do some overclocking to maximize performance and such, so I need a k processor and an OC ready motherboard.

I will be giving my old motherboard to a relative for their home pc. Should last them another decade or so.

My question is: Since I bought a OEM version of windows from Newegg, can I use my same key with the new motherboard? My relative will be putting windows 7 on their computer so they don't need my copy of 8. Can I just use an option to use the same windows? Because the board i'm going to be using is from the same company (MSI), just Z77 instead of B75. and the processor is just going to be from a regular 3570 to a 3570k.

I'm sure this question has been asked a thousand times, but I just wanted to ask for myself to be sure.

If the hard drive with the current copy of Windows 8 will be moving to the new computer, you don't have to do anything (although you may need to reinstall anyway due the hardware changes, if it works, the license is not affected). If the hard drive is staying with the current computer that is going to your relative, you must back up whatever data you want, and wipe the drive out.

Store purchased Windows 8 licenses are transferable between computers that you personally own, as long as one license is only used on a single computer at a time.
