Here is the comparison between the two, biggest issue I see is that the GA-970-Gaming SLI is an ATX (bigger) while the GA-78LMT-USB3 is a micro-ATX (smaller).

You would have to make sure that your case fits ATX size motherboards. You should be good to go for overclocking the FX 8320 on the GA-970-Gaming SLI
