New Motherboard , PC won't go.

I upgraded my motherboard because mi previous Fatality 970 Performance fails .
I just buy a new Gigabyte 970a-UD3P Rev. 2 and a new cpu cooler .
My actual configuration is : 970a-ud3p ,AMD FX8320 , 8gb DDR3 Patriot 1600 , NH-U14s , AMD HD5750 , 2 Hard drives and a Samsung 840 EVO.
I disassembled the old motherboard and mounted the new , PC won't start keep rebooting with black screen .
Already tried reset CMOS with the jumper , removing ram (beeps) , replacing VGA , same problem .
Please i need help .
Update: removing all the ram the computer does not start and the screen remains blank , the bios beeps signal ram absence , but the PC is turned on normally does not restart ( by opening the DVD player the not close and will remain open )
Maybe a ram problem ?
