overclock or replace?

So I have an amd5600+ windsor, however the bios are locked and I cannot overclock the cpu.
I want to purchase a new gpu, probably the hd4870, but do not want to hold it back with my cpu.
Would it be a better price/performance for me to..
A) buy a new mobo and oc my 5600+ (~$95)
or
B) completely replace it all (ie. e8400, p45 mobo)? (~$310)

Would the e8400+oc/mobo really be worth the money compared to if i could just get my 5600 to ~3.2ghz?

i don't have much experience with overclocking, but I do have an e8400 and a geforce 8800gt oc edition. All I can say that it can play most of the latest games, (hellgate london, cod4, crysis) on most of the settings at High smoothly.

well i can play cod4 high in 1440x900 w/ an 8600gt, crysis medium 1280x768, but i want to play at 1680x1050, and i want to be able to play far cry 2 when it comes. i'm buying an 4870 for sure but not sure about the rest.

Surely you could just buy a hd 4870 see if your happy with the preformence you get the if not upgrade too an intel cpu + mobo
