PC DOESNT START UNLESS IT IS COMPLETELY COOL.

I AM GOING THROUGH A REALLY WEIRED PROBLEM . EVERYTHING IS WORKING FINE , IT'S JUST THAT WHENEVER I TURN OFF MY PC IT DOESN'T START IMMEDIATELY AFTERWARDS .I MEAN I NEED TO WAIT FOR ABOUT 15-20 MINUTES TO SUCCESSFULLY START THE THING AGAIN . IT SOMETHING LIKE I HAVE TO WAIT FOR IT TO COOL DOWN TO NORMAL ROOM TEMPERATURE . I TOOK NOTE OF THE TWMPERATURE IN THE BIOS AND IT WAS NEVER MORE THAN 38 DEGREES ,AND MOBO TEMP AROUND 24 DEG. I HAVE DONE EVERYTHING I COULD .
I RESEATED EVERY COMPONENTS I COULD FIND ON THE MOBO .
I REPLACED THE BATTERY .
APPLIED THERMAL COMPOUND .
FORMATTED THE CMOS.
CLEANED ALL THE COMPONENTS.

THE PC IS 6 YEARS OLD P4 PROCESSOR .AND I FEAR THERE COULD BE SOME HARDWARE ISSUES .
AND YES WHEN I POWER IT UP IMMEDIATELY AFTER SHUTDOWN EVERYTHING WORKS FINE : FAN ,HDD AND CDD MAKE THEIR USUAL SOUND ACCEPT FOR THERES NO BOOT , EVEN THE MOTHERBOARD SCREEN DOENT SHOW UP + NO BEEP.
I DID NOT DO ANY OVER-CLOCKING OR ANY OTHER SETTING IN THE BIOS. PLZ GUIDE ME.

I am having this exact same problem after getting an Asrock P67 Extreme4 and a i5 2500k, so rather than making a new thread I want to bump this.

Is the PSU the most probable culprit? Because mine was working fine until I swapped mobo+cpu. What's more is that when the system does start, the PSU works fine even when the system is under load - shouldn't it power down when it gets overheated, and not just refuse to start up? Also, the system won't start again even if it basically just booted and them shut down again, would that really generate that much heat?

Relevant to this might be the fact that when the system fails to boot/post, the onboard LEDs (onboard pwr switch, dr.debug) do not light up and the fans spin at a decidedly lower rate than on a successful start.

RAM: 4x2GB Corsair xms3 ddr3 1600mhz
PSU: silver power sp-600a2c
Misc: xonar d2x, dvd-burner, 2x120mm case fans
