So I Have been having these random shutdowns for a while now. Sometimes they happen very often sometimes they dont happen at all. So first i tought this must be my PSU but after shutdown i still get 11.8v reading with a multimeter.
And after some shutdowns before windows boot the bios tell me that the overclocking settings have failed.

So my question is how can i troubleshoot this so i can be 100% sure if it is my mobo. if even possible.

I just provided you with that info ?!?!?

Intel® Core™ i5-2500K Processor
(6M Cache, 3.30 GHz)
MSI P67A-C45 (B3)
Palit GeForce GTX 570 Sonic Platinum
Kingston HyperX Genesis DDR3-1600 CAS 9
XFX Core Edition 650W

No, you didn't. CPU was easy to guess. I knew the motherboard was an MSI from the model number, but I have been doing this for awhile and many here haven't. Although brand of video card is probably not relevant for this problem, we had no idea. Memory brand is critical because some will work with certain motherboards and some do not. PSU was easy to guess.

Is the system overclocked? What kind of CPU cooler is in the system?

What are you generally doing when the shutdowns occur?

What is the nature of the shutdowns? Freeze? BSOD? BlackSOD? Reset/reboot?

Well they occur pretty randomly stress dosent matter. ive overclocked the system tho cpu temps are 30-35 idle and 45max on load only temp i have seen going over 60 is one of the motherboards temps no idea if this is normal. Usualy when they computer shutsdown it goes black tryes to reboot flashed on for few secs and does that few times. Sometimes just straight boots back to windows.

Tell if i forgot something.

Try "My Computer"->"Advance System Property"->"Start up & Recovery"->"Settings"->Unselect "Automatically Restart" under "System Failure".

Check and let me know what you get.

Will let you know when and if the system failure happens

It still tryed to reboot after shutdown (blackscreen). What does that mean?
