Thank you all for your suggestions, unfortunatelly it did not help and
since I use my computer for internet betting I simply cannot afford to
loose valuable seconds (up to 30) and miss a bet.
So I am back to 98SE working perfectly, not a problem.
My cpu is an AMD Athlon 3200 and 512mb of ram.
Maybe for some knowledgeable people out there, solving this problem
would have seemed like a challange, a problem to be solved, but I just
want a machine that WORKS.
So back to the tried and proven.

Would you go back to your 1989 ford if your 2005 Mercedes had a flat tire?

Yep. Not sure what has been recommended, but Filemon will catch most
everything. And it's free.
