Reinstalling Windows 7 After Replacing Motherboard?

I will be replacing my PC's MoBo soon. My PC came with Windows 7 Home Premium 64-Bit. I want to upgrade the motherboard, but I heard that I will lose my OS. Is that true? If so, can I reinstall my OS (I have the product key, but no installation disk)? Will I lose my data as well?

If it is a different motherboard your license will probably not activate with microsoft ,because that is an OEM license and it is tied to that motherboard!
