i just bought this whole system few days ago:
sempron 2500++
MSI K8MM-V (K8M800-CE + VT8237R chipset)
2 X 256 MB DDR 266 kingston RAM

i play around with the BIOS and find no option to overclock anything except memory. i get so frustrated and decided to get a P4! but before that, anyone know how to get to overclock this CPU?anything modification (like the old days of Athlon XP) to short circuit some pins?
by the way, i heard of software overclocking which we can tweak the settings from windows?any suggestions on this before i get a new conroe in the next few months?

Semprons are great overclockers. It sounds like the motherboard you got isn't such a great overclocker, not the processor.
I got a 2600+ on a biostar mb and it's been running stable at 240 htt since december. Processor speed is just under 2ghz at that bus speed.

The Sempron 2800 palermo I owned could hit 2.5 GHz stable, 2.7 Ghz max into windows but not stable. A friend of mine decided to purchase the same mobo and cpu (mobo was a Tforce) and was able to get to 2.6 Ghz stable. Your mobo was just poorly chosen.
