I have an old PC (year-2010), I was thinking to upgrade its Power supply and Graphics card. But I am confused that upgrading would increase the performance or not ?
My PC's spec:
? Core 2 Duo E7500 @ 2.93Ghz.
? 3 GB DDR 2 Ram (2+1)
? 250 W PSU ( I will upgrade this)
? Windows 8.1 32bit
I just want to play COD modern warfare 1, 2 3 ; DMC 5 and FIFA 12.

I was thinking to get corsair VS450 and ZOTAC NVIDIA GT 610 or 730.
Upgrading my PC would increase my performance or not?

Upgrade RAM? no. 3GB is good for Windows 8.1 32bit.. Just close all apps before playing and you will be ok w/ almost any game.
It would increase performance but it would be questionable bothering. I'm all for re-using old equipment but I find it difficult to advise anyone continuing to run a socket 775 system. Almost any modern CPU would be an upgrade, you could buy a H81 motherboard and entry level haswell i3 as they are cheap at the moment due to the release of skylake. Also RAM prices are as low as I've seen them in a few years so you could invest in 8gb ram to go with. Then yes you can use that corsair VS unit and if you need a budget GPU an R7 260x or 265 or a GT740 would be good for high settings at 720p or medium / low @ 1080p

2 GB DDR 2 Ram (2+1)... Is it 2GB or 3GB? 3GB is a must for games w/ Windows 8.1 32bit.
A Duo E7500 @ 2.93Ghz can still play many games w/ HD-720p/low settings.
But you really want the 730 w/ DDR5 here.
Just kill any other task when playing games: Your RAM/cpu power must go 100% all time to the game.
Just forget GTA5 and any other cpu-bound game: You will waste your money if you buy one of them.

Sorry its 3 GB RAM. Should I upgrade ?
