It's on disk 1 or disk 2 of the UT retail package.

If you have the game it's in the UT\System folder wherever you
installed UT at but if you don't have the game then UnrealEd
will do you no good to have!. Are you having trouble getting
UnrealEd to start or something? If you're getting errors
while trying to start it there is a patch called UnrealEdFix4
that fixes this. There is also the 436 patch from Epic with
the new version of UnrealEd 2.0 which is the best way to go
in my opinion.
