Upgrade edition W8, reinstalling question

I've already upgraded my OS to windows 8 from vista a while ago, and I want to reinstall my OS fresh.

Since my OS is an upgrade edition, will I need to dig out and install vista, then go over the top with windows 8? Or do I just need the two cd-keys, and install W8 on a formatted HDD?

Also, this may or may not be related, but I have a few XP cd keys from old defunct laptops etc, and I'm wonder if I can buy a new laptop and use these keys with an W8 upgrade edition. (Install XP on a new laptop I imagine will be difficult.)
