upgrade my processor

hello sir,
first of all I show my pc configration here.......
AMD 8350 triple core processor
ASUS M2NMX SE plus board
2 GB DDR2 667 fsb ram
2 TB Seagate HDD (1x1)
1 GB ATI 4650 HD Graphic Card
UMAX 450 Watt SMPS.

I got a running amd phenom 9600 black edition processor and 4 gb ddr 2 ram (2x2)
if i upgrade this processor and ram with my motherboard ,,,is my system running correctly or i should buy a new motherboard.

give some ideas....for upgrade my pc

i m from india......and the 9 series processor of my frd ...I give some amount to him and why i nedd a new psu....the power watt is same as my current processor. i check on net
my processor 8450 95w am2 socket
upgraded processor 9600BE 95 w am2 socket

ya i know its no too much perfomance difference between this cpu......but this upgradation is low cost and i got 4 gb ram.
my question is just simple that is my motherboard support this processor...thats it.
I have 3 core processor and i got 4 core just a lillte bit amount (500 india rupees) thats wy i am asking.

i updated my bios....but if i formatted my pc then i need to re update my bios or should not?
