Will i need to re-install windows 7 after i upgrade my MBO and processor? going from a z-68 to a z77 and from a 2500k to a 3570k.....

Solution
Clean install is HIGHLY recommended.
The problem is Drivers. So cloning is OUT. There are a few programs that will migrate the OS from one drive to another. Basically what they do is strip out the drivers (ie in device manager) and when you first boot into windows on the new system it will be forced to re-load the windows default drivers, BUT YOU will still need to update many of the MB specific drivers for optium performance.

OK Ignore below as you explained why - LOL Did not delet as others may have the same Idea of Upgrading a i5-2500K -> i5 IB CPU.

You might want to save some money by going with the Newer Z77 MB but retain your 2500K.
.. CPUs VERY little difference between them maybe 10% performance gain, which is Hardly...
That's a lot of money to be spending for minimal gains...
But yes, you will need to re-install and re-activate Windows. It is sometimes possible to load in Safe Mode and get Windows to work on a new mobo, but in general it will never be "right," and future stability issues could be almost impossible to troubleshoot.

.. CPUs VERY little difference between them maybe 10% performance gain, which is Hardly noticable and that canbe offset as the i5-2500K is more easily OCed and to a higher level than the newer IBs CPUs.
.. MB This where you can pickup some improvements, More SATA III ports - only Important if runing with a couple of SSDs (HDDs really do not benifit from SATA III). Newer HD Chipset, but that only maginally improves the High end SSDs. Native USB III support, Much better than the 3rd party USB 3 controller on Z68 MBs.
PCI-e V3, not a biggy to day - but who knows what tomorrow will bring.

I also Have the i5-2500K w/Z68. Not enough gains to offset the cost to upgrade unless I went with the i7 IB cpu. Money is NOT the problem, I allow $800 a Month to blow on what ever I want, And a wife that says " It's Your money spend it however you like". So I'm waiting for the Next Intel generation to Upgrade.
This past month my pocket change went for a Nice Monitor, a 27 inch PLS 2560 x 1440 resolution and a 7850 GPU (not a gamer if I was I'd go for the 7900 series gpu. BOTH of thes will care over to when I DO UPGRADE.

Solution
I figured on a clean install i was just hoping to avoid it as i have several games with huge updates that will take 2 days to download with my crap internet....so i will swap them out and see what happens...i have conflicting solutions in other forums....people have had luck and some didnt...we shall see!!

Back up your game directories.
Reload Windows. Re-install your games, THEN restore the game directories, which may recover your updates.
You may seem to have luck with the swap, but then later stability problems or other anomalies may crop up that will be a PITA to troubleshoot or fix due to lingering mismatched drivers.
