Upgrading Graphics Card Help

Hello all, I am currently looking into buying a new graphics card. I'm not willing to spend any more than $300. My rig isn't anything special, but here it is: AMD Phenom II X4 945 3.0ghz, I currently have a GTX 275, 4 GB of ram (3.25 usable) Not sure about my motherboard seeing as I built this PC 4 years ago and I'm also a noob. Do you think there will be bottlenecking issues with my CPU if I get something like a GTX 760 or 770?
