Upgrading home PC

I use solidworks to teach an engineering high school course, as well as play games like Mass Effect 3, NFS Shift 2, and Simcity (when it comes out next year). I am running into a brick wall with my core 2 duo E5600. I would like to upgrade my RAM, Motherboard, and CPU.

So what would be the best build that I could get for 300.00. I already have a seasonic PSU.

Must have/be:
On-board sound
ATX
ASUS brand MB
Intel i5 or i7 CPU
at or under 300.00

Why no microATX?
