I have a PC with a HDD that has a pre-installed OEM version of Win7, I would like to use this HDD with a new motherboard.

I understand you have to buy a new copy of Windows, but should I have any problems with installing the new copy?

Just start up the PC with the new hardware, and put the CD in? I'll know I'll lose my data but I don't want to spend more money than I need to.

This is very much of a "sometimes it works, sometimes it doesn't". And that's just for the actual booting.
Changing motherboards often, but not always, required a clean install. If you've never seen it fail, you simply haven't tried it enough times.

Licensing is a whole other issue. OEM in particular.

win 7 i have only done it 2 times but win 8 works much better i've done it at least 9 times and if the mobo have same chippset you don't even need to make a repair disc
