Using win 7 upgrade with dell key

I have a dell computer with win xp on it. I would like to know if I could install it on my custom and then buy an upgrade to win 7. I have the product key for the dell and the cd's. First I want to know if I can install that cd on my custom then upgrade my pc to windows 7 using the upgrade disk.

Sorry if I'm a little unclear but this is what I'm asking

Just to clarify I want to install windows 7 on my pc. I have another pc that has xp. It is a dell and has all cds. I want to use the dell cd so I can use an upgrade windows 7 disk. Will it work? Any help will be appreciated.
 

It may work, it may not. It depends on MS. Its 50%/50%

damn I feel like an idiot apparently you can't buy an upgrade disk but have to buy the full one to install. Just the wording online can be a bit confusing sometimes. I'll probalbly just end up buying the OEM disk
 
Actually you can install windows as an upgrade legally with the way you described its cheaper than oem because you actually have a previous OS. Our school only sells upgrades for 25$ so this is by far cheaper than paying 150 or whatever for oem.
Its up to you but the way you described upgrading from XP is perfectly legal and is even condoned and listed as a way to install windows 7 on www.microsoft.com
