Video Codec Help!!

I have a two videos of different resolutions,codecs,formats..I want both the videos to be as of the first video.I mean that i want both the videos to have same format,codec of the first one.So anyone can help me in finding a good software for this..Sorry for my bad english.Thanks in advance! 😀
