want to Upgrade CPU

plzz help i am confused. i want to upgrade my cpu. I have two choices:

1. HP xw6400, intel xeon 2x E5345 with 4 GB RAM and 525 watt PSU.

2. Intel core i3 2120 2nd generation with 2 GB RAM and 450 watt PSU.

on my own choice, I preferred number 1, not only because it has 4Gb memory and a higher PSU, but most server running 24/7 has a Xeon Processor.

. xeon is the stallion of intel.
