Is the 6600K overclock and better motherboard worth it?

I wouldn't call the PC mate board "better" under the best of circumstances. The ASRock H170A is a better board than the MSI PC Mate board, however, the 6600k does give you the overclocking options. If you don't plan to overclock, then stick with the locked processor. If you DO plan to overclock, choose a better board as I've seen nothing but issues with that board and am in fact helping with three threads right now using that board that are almost certainly going to result in RMA or replacement with another model of board.

I'd also probably include an aftermarket cooler even if you go with the locked chip, as the stock cooler is not great, even on stock configurations if you're planning to game or will be pushing the CPU envelope.
