Msi gtx 970 Twin frozer
http://www.ncix.com/detail/msi-geforce-gtx-970-twinfrozr-2a-102245.htm

ill be gaming at 1080p , My rig i5 4570 ,Corsair 8gb ram . I wont overclock .Does the reference design give less fps than the non reference design? If thats so than msi gtx 970 would give more fps than these 2 reference design gtx 980 ? or maybe near to it? ILL play shadows of mordor :)

Solution
I guess that depends on what frame rates you want. If you want constant 60fps, then no.

I know I can't and my system is pretty decent.
i7 3770 @ 4.3ghz
8GB 1333mhz
GTX 970 OC @ +200 +500

Watch Dogs = 50fps using txaa x4
Tomb Raider = 35-45fps using highest AA and AO.
Shadow of Mordor using highest settings including the 10gb download I get over 60.
Far Cry 3 - no problem.
Crysis 3 - 50-60fps
Witcher 2 - 55-60fps

At stock clocks I didn't get such great performance.

Even with the OC I turned down the AA an AO where possible.
Well GTX 980 is 10-15% better than GTX 970, and MSI G4 (the twin frozer) is an excellent GPU, but since you won't be OCing, Asus will yield you a couple of FPS more at the least, for a $140 price premium. If you think its worth it, then you can go for it. Also, 970 or 980, any will be great to max out SoM on FHD display, I'd go for MSI 970 :)
