Which of these 2 CPUs is Better for Win 7 64 bit?

Of these 2 processors:
1. Intel Core 2 Duo E4600 @ 2.4 GHz
2) Intel Core 2 Q6600 Quad @ 2.4 GHz
Which will run faster/better on a Win 7 64 bit with 8 GB RAM on an Asus P5B Motherboard?
Will Win 7 64 bit be able to use all 4 cores of the quad processor and therefore be better at multitasking than the dual core processor?
Or in practice, will there not be much difference between the 2 processors.

I haven't taken it apart yet, but think the old core 2 processor and heatsink has a thermal interface pad.
If I remove the old processor, can I re-use the old pad or will I need a new one?
I have a tube of arctic silver. Could I remove the old pad and use a thin smear of that instead?

Did it last night. In the end there was just old paste to remove, no pad, and it was all quite quick to do.
So far there is a notable increase in speed in Win XP. I am monitoring it for stability and planning to put Win 7 on it for a more up-to-date system.
Also came across the cheapish Intel Xeon X5460 processor 3.16Hz/12M/1333Mhz, which is apparently equal to a LGA775 Core 2 Quad Q9650. This Xeon is quite cheap, although I think requires a hacked BIOS, and may yet give more life to this old Asus P5B motherboard.
 
A simpler and more effective solution might be to just get a better CPU cooler and overclock the Q6600, as they overclock very well, beyond what the X5460 will give.

With 8 gb of ram you could also go to windows 10 64bit and it should run it very well.

Is there any CPU cooler you recommend or a particular brand? There seem to be so many to choose from.
I'm currently using the old cooler which came with the previous Intel Core 2 Duo E4600 @ 2.4 GHz processor.
However, even without overclocking, it's struggling a little. When video encoding in eg Sony Vegas you can hear it come on at higher revs for short 30 second bursts to dissipate the heat.
