Which upgrade?

My Dad has a system with the following specs.

800Mhz Athlon
256Mb PC-100
32Mb TNT2
Don't know the mobo

Win98se

Now he asked me if upgrading a few things might be in order.
I suggested PC-133 as a starter then got to thinking about the amount of RAM on other Windows OS.

He uses the computer for apps, T.V., Internet browsing, modem, ***NO GAMES*** Arrgghhh.

Would it be worth while upgrading to Win 2000 or to Win ME.
He tends to prefer added extras and speed rather than specialised computers.

What are the definite advantages to these OS options?

The only important question is why does he want to upgrade?

Is he having probs with the O/S?
Specific applications too slow?

If not, stick with 98'SE. The hardware seems pretty decent too.
