i am using their old cooler on a amd a6 6400k and on Gigabyte GA-F2A88XM-DS2 Micro ATX, if the motherboard is fm2+ will it definitely fit okay ? or will it intrude on ram slots etc
RAM Slots is an individual board clearance thing. But AM2, AM3, AM3+,FM, FM2, FM2+ all use (more or less) the same mounting hardware and are equally compatible cooler wise.

They're close to the cooler, but not to the socket. You have to consider that your cooler overhangs the socket by quite a bit. If you took the cooler off, you'd find that there's plenty of space between the socket and the RAM slots.

I agree. You should be fine. AMD wouldn't design a cooler to not work on all similar products of the same TDP... It wouldn't make sense.
