My Question here today is, will this GTX 770 be compatible with this AMD FX(tm)-4300 Quad-Core Processor? (Overclocked to 4.1Ghz)

I am currently using the ASUS M5A97 SATA 6Gb/s USB 3.0.

Both are fully compatible, with both of them using PCI-e 3.0 x16 interface. I'd suggest you to go for it, but kindly stand by for confirmation from more experienced members over here on TH.
