yes, but you should take other RAM dimms. take RAM that works on 1.5Volt(even partpicker warns you for this) any ddr3 1600MHz RAM should do. in games you wont notice the difference between 2.4GHz or 1.6GHz.... also, your power supply is somewhat overkill. 550 watts will be more then enough for that system

Can i get a reason why you did those changes?
 
Z97x killer is a better board. MSI boards have had quality issues, and I do not trust them. DDR3 2400 ram is a waste, as Intel isn't really affected by ram speeds much. Not to mention the voltage of your ram is too high. Look at the warning PCpartpicker gives you. I also managed a quality 256gb SSD vs a 120gb. Bronze vs gold is minimal and the PSU I chose was well reviewed by jonnyguru. The XFX is a good PSU, but not worth the $45 premium.
 
I personally like MSI boards quite alot. People blow their quality issues WAY out of proportion. Their Intel boards have been very good quality for the last 5 years or so. Someone here posted a link to a consumer report that showed MSI and ASUS have identical number of failures and DOAs. MSI makes VERY good Z97 boards and I strongly recommend them I am using a Z77 board by them now and love it.
 


Will it be good for overclocking and gaming?
 
It is very similar. They both have the same power phasing so they will overclock similarly.

If it was me I would honestly buy the MSI. I have my current i5 heavily overclocked on an MSI board and the BIOS is VERY user friendly. My favorite of all the "big 4" BIOS. (Asus, MSI, Gigabyte, ASRock)
