Will these motherboards mounting holes line up?

I was wondering if these two motherboards mounting holes will line up.

No, they don't.

Yes the mounting holes are the same. ITX and MATX and ATX all use those 4, MATX has another two similar to the bottom two around a third expansion slot, full ATX does not have 2 screws at the 3rd slot, but moves them to the 7th slot of the case.

Does the case have mounting holes for the cpu cooler or was there a backplate on the board?

Both boards are Mini ITX and mounting holes do match... the only difference is the socket... The ASRock is Intel socket 1151 and the HP M2N61-AR (Acacia) is AMD socket AM2
