You can't upgrade a 32 bit version of Windows with a 64 bit upgrade disk.. If you want to install the 64 bit version you'll need to clean install from the 64bit disk to your HDD having removed all partitions. Main advantage of 64 bit is the ability to recognise more than 4 Gb of RAM, if your PC can't handle more than 4Gb , or you don't require more than 4, use the 32 Gb disk to upgrade, thus preserving the contents of your HDD.

I'm just trying to get an idea of what you're trying to do. I'm guessing you have Windows XP and put an installation CD for 64 bit Windows 8? What you have to do, is leave the CD in the disk tray, restart your computer. As your computer is starting, hit the key that brings you to the BIOS menu (the key is specific to each motherboard/computer. Look for something that says "Press [some key] to enter setup," or something along those lines.).

Once you've entered BIOS, try to find "Boot Options/Boot Menu/Boot Priority" and change your CD drive to the item that your computer tries to boot from first. Once you've made that change, save and exit. Your computer should restart and boot into the Windows installer. You shouldn't have any problems from there.

I hope that helps!

Dodger's right, you can't upgrade from 32 bit to 64 bit, which is what your computer thinks you're trying to do. You can only install the 64 bit over the 32 bit. Since you already have the 64 bit installation media, why not backup your important files and just do a clean install with the method I described. Clean installs are generally better than upgrades anyway.
