Windows Only Detects 3.2GB Of RAM

I am running a Windows XP 32bit computer with the Intel D945GTP motherboard.
I was previously running 2GB of RAM (1024MB + 512MB x 2), but decided that I would upgrade. I am now running 4GB of RAM (1024MB x 2 + 2048MB).

On the Speccy program, it detects that I have 3 slots of RAM and shows me that I have a full 4GB of RAM, but on the Windows system properties it says that I only have 3.2GB of RAM.
Why is this?

That's because it's 32 bit system. It can allocate maximum size of 3,25 GB of RAM. You need 64 bit system in order to allocate more than 3,25 GB RAM and less than 16.8 million terabytes of RAM. Ehm in reality up to 128 or 256 gigs of RAM, depending on Your motherboard.

Can I upgrade to the 64bit version of Windows XP for free with the product key for my current 32bit version?
 

Windows 7 would require me to purchase a whole new product key. I would really prefer not to do that.
I think I will just stick with my 3.25GB or RAM.
