I had a PC with Intel D945GCNL mobo and used it with an Intel Core 2 Duo
E4600. Now I got a new processor which is Intel Pentium E5800 which is slightly better than the one which I had. When I booted the PC I got BIOS screen but when it reached the Windows logo, it got stuck. I tried to reboot and sometimes it showed Startup Repair but nothing happened. Then I tried to use linux to boot and it worked seamlessly. That's when I found out that the PC was only booting in a 32 bit OS but not on a 64 bit. The Windows I used was 64 bit, so I tried to install Windows 7 32 bit and it worked fine.
My specs
Intel D945GCNL Motherboard
Intel Pentium E5800
Windows Insider Educational Build 64 bit
Geforce GT 710
Seagate 7200.10 RPM 250 GB

I don't know why 32 bit works flawlessly, but you could ask Intel (don't expect an answer for such an old and no longer supported motherboard). Use 32 bit if that meets your requirements and you want to keep that CPU. cpu-upgrade aren't sure the E7x00 are supported; if I were you I'd use the official list from Intel https://www.intel.com/content/www/us/en/support/articles/000005806/boards-and-kits/desktop-boards.html where the E6700 is the fastest CPU (a 15% improvement over the E4600 - it may not be worth it even if it was free).
That Pentium is not supported by the D945GCNL motherboard; the fastest is the E7500: http://www.cpu-upgrade.com/mb-Intel/D945GCNL.html

I've used windows 10 64 bit with 4 gb ram, it worked without a problem. Intel D945GCNL supports 4gb DDR2 RAM

That is the problem ! When I try to boot the installation Disk, it just stops at the boot logo, and gets stuck

You have 2 options:

1. Install a supported CPU like the E7200;
2. Replace the motherboard with one that supports the Pentium http://www.cpu-upgrade.com/CPUs/Intel/Pentium_Dual-Core/E5800_motherboards.html There are several Intel motherboards, but not the one that you have.
