ASUS P4C800 E-Deluxe Problem?

Alright so my 4 year old PC that I was using a couple of weeks ago froze while I was watching a video on hulu.com and the mouse would not move and nothing would start open (task manager). So I pressed the re-boot button on my PC and it rebooted and then it started up again and it froze while loading Windows XP. So I re-booted again and then nothing happened. No post or boot screen logo appeared, just out of my speakers it would say "System Failure CPU Task". I bought a new Intel Pentium 4 3.0Ghz off of eBay for $50 and that did not get rid of the message. What could be wrong?

My system specs:
Motherboard: ASUS P4C800-E Deluxe
CPU: Intel P4 3.0Ghz 478 Socket
Graphics card: BFG nVidia GeForce 7600 GS OC
Memory: Kingston 1GB (2x512MB)
Sound Card: Creative Audigy 2 ZS Platinum

i have a similar system, P4C800E with a 3 GHz CPU.

in order to do diagnostics it helps to have the same tools as an IT tech -
* extra MB
* extra CPU
* extra Power supply
* extra RAM
* extra video card
* etc.

i would try swapping out the power supply for a known good PS.

what could be wrong ? anything.
