Bad cpu,bad cpu!

I hope this is the right area.
My question - is my cpu the culprit?
Building a new machine 1.2 ghz AMD athlon 266 mhz fsb.
Asus a7m266
I installed the cpu,heatsink,videocard,memory and tried to post the bios.
The bios comes up sporadically. Sometimes I get nothing on my monitor, sometimes a beep and then nothing, sometimes bios and then nothing.
When I can get into the bios everything looks okay, but sometimes it resets the cpu speed from 1.2 to 900.
I did have trouble installing the heatsink and might have damaged the cpu.
Any suggestions, is it the cpu?

AMD is for the devil... Oh wait sorry. How big of a power supply you got??? Also have you made sure the chip is fine??? Just take the gear off of it and take a look if there is some chips on it yer prob in trouble. But on my p3 i have chipped corners as well but thats cause i screw around with it lots. it works fine ... i think.

If you can get it to boot off a floppy, you should update your BIOS ASAP as I was having this issue with another computer I was working on until I flashed the BIOS to the latest version.

There is a link to the great bios guide somehwere in one of tomshardware review things, its under overclocking. There you can find out what the beep could mean. I had a problem with beeps and i fixed it by the info i got there. Its called "the great bios guide" or something.
