booting issue on installing new motherboard n ram

got a new gigabyte g41m-combo mobo along wit 4gb ram ddr3 1333mhz o.c. Processor is old, intel dual core e5300. but on powering up the pc the processor fan starts for few seconds n then it restarts. the same thing continues. smps is 24 pin 300watts.

I think the bios mightn't be compatable as I believe they aren't endlessly back compatable

Ummmm I'm not sure mate.

I've had similar problems best thing to be is call your local computer store and ask them about it, chances are they'll say yep we can check it out, take it in drop it off and then they'll call you saying this is your problem if its something can fix they'll do that or they will tell you what you need to do.

That's what I did and It works every time sometimes it's better except that you can't fix it and let a professional have a look
