Can I install Core i-7 4771 in this box?

A little background of what I want to accomplish here. My very old duo-core HTPC is on its last leg. I want to build another HTPC (prefer a small one). These are the parts I have laying around.
-Core i7 4771 CPU
-2 x 8GB DIMMS (desktop Rams)
-360GB SSD

The motherboard can only 65W Max. Is that 65W TDP? According to the Core i7 4771 CPU specs, its 84W TDP.

-Can it handle my CPU?
-Will I be able to use my rams in it even though the box says UDIMM?

If not, what box do you guys recommend so that I can reuse my existing parts?
I prefer not to spend more than $200.

It'll handle the CPU fine, until it uses more power than the power supply can provide. You'll hear a popping sound and the computer will be toast
