Computer boots, no visual display

Computer boots but no visual display, also if I shut it down the computer turns back on few seconds later, if i remove the graphics card the computer boots and no display as well through the integrated port, and if i shutdown it restarts,

the difference between the graphics card in and out is i noticed that the PSU has fans at higher RPM with graphics card in versus the without, other than that i can't get it display or shut down properly.
 
I have tried most if not all of those things, it is a prebuilt running win xp, dell optiplex 755, core 2 duo 3 ghz, 1gb of ram (which i have swapped with other rams), the only thing i can think of is the PSU since it does that, also there is a SOLID orange light on the motherboard, which leads me to believe bad mobo maybe?

okay so i plugged in a new PSU, and the fans ran at FULL RPM, so maybe it is the mobo from my suspicion?
 
So after a couple hours of switching memory sticks and slots and graphics card, i got it to boot up and it stays on just fine, now just one problem, when i shut it down, it starts up again after 10 minutes, bust just for 2-3 seconds, not fully and shuts down again..does it like every 10 or so minutes, what may be the cause of this, i don't see the wake on lan option avail in BIOS, but everything else is disabled in regards to power, it's running XP
