Help upgrading my motherboard and Processor? Please?

I currently have a cyperpower PC GAU 250. Spec's below:

I'm looking to replace the motherboard and the Processor with an i7 4970K. What would be a decent motherboard that I could swap out and not loose the hard drive or ram or don't have to sink anymore money into it? I've had the computer for awhile. I just bought a Nvidia 780ti and a 600W power source. What processor and motherboard would be good?

I do have the window's 7 DVD. It say's it's "Window's 7 Home Premium SP1" on the disc. I have the Window's codes on the side. I don't really have much on it. I don't have any photos, videos, or anything like that. I just have World of Warcraft and Civilization installed. Don't have any game data saved. But I can back everything up. How do you back everything up?
