My Mother Board is Intel® 945G Express Chipset (Intel® 82945G Memory Controller) & Processor is Intel(R) Core(TM)2 Duo CPU E7400 @ 2.80GHz, 2793 Mhz, 2 Core(s), 2 Logical Processor(s). I am using Windows 10 Pro 64 Bit, system showing me usable RAM is 3.24 GB, when I have used 32 Bit Windows 10 then also show 3.24 GB. My Questions is (1) Why it is happening? (2) 32 Bit or 64 Bit which is best for me?

Windows always reserves a portion of RAM in order for it to properly run. As for which one you should go for - a general rule of thumb is 64bit for 4GB of RAM and more, 32bit for anything less than that :)
