Can this possibly be legit @ $40? What's the catch?

I wonder if it is just the key, and it is left up to the user to try it on the microsoft site for downloading Win 7 Pro.

Sort of.

They basically bought bulk product keys from MS (like Dell or HP would) and are selling them electronically which they aren't supposed to based on Microsoft's rules.

The catch is of course you just get an OEM product key in your email, and you have to trust them that it hasn't been used etc. You don't get the label or disc.

I don't see Microsoft ever shutting your copy down, but I would assume MS has some way to shut them selling it down eventually.

I dropped them an email asking them to explain how it can be legit at that low price. They fired back in a very short time saying only...
"Yes the key is 100% legit.
We guarantee that product key will activate one computer. If you will have any problems with activation we offer full support with our product."

No explanation, just a "trust me".

Yeah sounds about right. Technically its a "good" key, but its kind of like buying a TV that "fell off the back of a truck"
