Motherboard not powering on... leds active

Hello,

I got today a MSI Z170A M7 motherboard, and.. after unboxing I just wanted to make sure that the MB works with the very old power supply 300W that I'm using right now to my old PC...

After attaching all the cables, including front panel and coolers, motherboard powered on (by pressing power button from the mb; the front panel didn't work at all); showing 00 or "D0" on debug led... (no beep from the speaker also)
However, I don't yet have a CPU, or any RAM Memory Stick.

For curiosity, to see what happens, while it was in function I unplugged the 4pin (instead of 8) connector, and MB was shutting down.

Then, I couldn't turn on the motherboard, even though power led, sw led, and ATX led were lightening (coolers weren't).

I also tried to restart CMOS by pressing rear panel's Clear CMOS Button.

Is my motherboard dead?
Should I return it to warranty?
I'm considering buying a new 1200W power supply. Will it work as normal after I install CPU and RAM sticks with the new PS?

What should I do to turn on motherboard?

D0 Debug means "late cpu initialization"
First of all, get everything off the mobo,
EXCEPT for the CPU and its COOLER & 1 stick of RAM
If it posts: slowly add other parts
If it doesnt:
Reset CMOS
If it still doesnt:
Carefully reseat the CPU & Cooler

I hope it works man!
