Solution
Now this is harder, the GTX 970 is great in both versions. Gigabyte G1 Gaming is larger (312mm) than the (269mm) MSI, also the Giga has a better cooling and backplate. The MSI card has that 0dB tech, because fans only start spinning when the board goes over 60°C. This is more like a preference decision (or case size decision, if the Gigabyte card doesn't fit), and preference related to the details.
I chose the Gigabyte G1 Gaming for myself, amazing card, great cooling and overclocking potential, backplate... Hard to say because the MSI/Asus/EVGA/Zotac.. all good and pretty cards.. take one that looks good with your case/motherboard ^^

what ever you pick for a motherboard, get extended service plans cause some makers will screw u over if they used a defective chip in their motherboards and fail to find an effective replacement that service techs can fix(got screwed by asus tech support for my x79 sabertooth). my current replacement mobo has 1-2 yr service net acc added to existing warrently for the brand which i got from newegg.
