The short answer is yes. But a Q6700, or QX 6700, QX6800 would be better, and the Q6600 can't be overclocked in that one like the later Optis.
A built out Opti745MT would have a QX6800 SLACP CPU, 8GB DDR2-800 low density x64 RAM, and "ZOTAC GTX1050 Mini" GPU.
The D9729 heatsink fits, and the whole fan assy. can be replaced with a Dell NC466, or DG168 Delta AFC1512DG 150x50mm fan. This is a very quiet, very powerful fan. 1.8A. 256cfm.
The next step would be an overclock using Throttlestop 6.0 software to 3.45-3.73Ghz. Heatsinks on the VRM MOSFETS help. Only the QX CPUs can do this.

The bracket can be removed and cut in 1/2 due to no connectors on the 2nd slot side. trim the plastic to be even with the end of the PCB at the other end. The 3GB won't have any RAM capacity issues.

I didn't see your post with the budget while I was writing that. The Seasonic PSU should be OK as long as the 5V. rail has enough power to match what the Dell PSU provided. The QX6700 is probably within your budget. The QX6800 SLACP are $60 or more.

I will add 4X2 ddr2 800 ram and A400 120GB ssd so with this graphic card and Q6600 cpu and new power supply will everything works fine withouth overclocking? Also can i use old Processor cooler for the new one?

An X6800 is another option for single thread games. Maybe 3.73Ghz then?
The Q6600 will work just fine. The cooler depends on which one you have. The aluminum one for the 2 cores won't work.

That's an old Pentium4 based MB. 266 fsb and 65nm Core2 is all it can support. With an unlocked CPU and overclock it can keep up with those. But it will be burning some Watts to do it.
