Processor: AMD Phenom IIX4 955 3.2 GHz
RAM: 2x4GB DDR3 Corsair Vengance (New)
G.Card: Geforce Gtx 750
Power Supply: 500w

what you recomend to change

How much are you willing to spend? As I would suggest upgrading the CPU and GPU and depending on what PSU you have that may also need to be replaced

i have 300 dollars and i want to change the cpu and the motherboard because the motherboard is Only compatible with AM3 Phenom. the GPU i would replaced later because i dont have the money now. what do you suggest about the processor and motherboard
